Terms

1. Scope

These General Terms and Conditions (Terms) govern the contractual relationship between WebMix Schindelholz, Lucerne (hereinafter "ProHost") and the ordering person (hereinafter "customer") for all web hosting, email and related services offered on prohost.ch.

2. Conclusion of contract

The contract is concluded by the customer's order and ProHost's confirmation. ProHost reserves the right to refuse orders without giving reasons — in particular if there are indications of unlawful use or payment defaults.

3. Scope of services

The scope of services is defined by the description of the chosen plan on prohost.ch at the time of ordering. ProHost is entitled to make technical adjustments to individual services, provided that this does not entail a substantial reduction of functionality.

4. Prices and payment

  • All prices are in Swiss francs (CHF).
  • Invoicing is in advance, generally annually or semi-annually.
  • Payment term: 14 days after invoice date.
  • In case of late payment, ProHost is entitled to suspend the service after prior warning.

5. Term and termination

There is no minimum term. The contract may be terminated at any time to the end of the current billing period (an email to info@prohost.ch suffices). For annual subscriptions, already paid but unused months are refunded pro rata, less any third-party costs (in particular domain registration).

6. Customer obligations

  • The customer warrants that content operated via ProHost violates neither Swiss law nor the rights of third parties (in particular trademark, copyright and personality rights).
  • The customer keeps access credentials confidential and reports any suspicion of misuse immediately.
  • The customer is solely responsible for regular own backups of their content, even if ProHost offers automatic backups.

7. Liability

ProHost is liable for damages caused intentionally or by gross negligence. Liability for loss of profit, indirect damages or data loss is excluded to the extent permitted by law. In the case of proven fault, liability per case of damage is limited to the annual amount of the service concerned.

8. Availability

ProHost aims for an availability of 99.9 % as an annual average, without this giving rise to an enforceable claim. Planned maintenance is announced in advance where possible.

9. Applicable law and jurisdiction

The contractual relationship is governed exclusively by Swiss law. The place of jurisdiction is Lucerne.

10. Changes to the Terms

ProHost reserves the right to amend these Terms. Material changes will be communicated to existing customers at least 30 days before they take effect by email; the customer has an extraordinary right of termination in that case.

11. Authoritative version

These Terms are published in several languages. In the event of any divergence in interpretation between the language versions, only the German version shall be legally binding.
